Terms of Service
Effective October 23, 2026 · Version 2026-10-23
These Terms of Service (“Terms”) are an agreement between Medcron LLC (“Medcron”, “we”, “us” or “our”) and the law firm or other organization that creates a Medcron workspace (“Customer” or “you”). The person who accepts these Terms when creating the workspace confirms that they are authorized to bind the Customer. Medcron is a service for legal professionals and their organizations; it is not offered to consumers for personal use.
The version of these Terms you accept is recorded with your workspace, together with the date and time you accepted it.
1. Definitions
- Service means the medcron.net website, the application at app.medcron.net, and the processing, review and delivery of chronologies described in these Terms.
- Authorized User means a person you allow to use your workspace.
- Records means the documents you or your Authorized Users upload, including medical records.
- Order means a request to prepare a chronology from a set of uploaded Records.
- Chronology means the files we deliver for an Order, currently a linked PDF, a Word document and an Excel workbook.
- PHI means protected health information as defined in 45 C.F.R. § 160.103.
- BAA means Medcron’s Business Associate Agreement published at medcron.net/baa.
2. The Service
2.1 What we do. Medcron software reads the Records in an Order and organizes them into a chronology of dated visits, with each entry citing the page it comes from. A Medcron reviewer checks the chronology against its source pages before it is released to you.
2.2 What we do not do. Medcron is not a law firm, does not practice law and does not give legal advice. Medcron is not a health care provider and does not give medical advice, diagnoses or expert opinions, and does not provide testimony. A Chronology organizes what the Records say. You are responsible for your professional judgment, for verifying any entry against the cited pages before relying on it, and for how you use a Chronology in your matter.
3. Accounts and security
3.1 Workspaces. Each Customer has its own workspace. Every Authorized User must sign in with a password and an authenticator app.
3.2 Your Authorized Users. You decide who may use your workspace and are responsible for their use of the Service. Authorized Users must keep their credentials confidential. Tell us promptly at support@medcron.net if you believe an account has been used without authorization.
3.3 Protecting the Service. We may suspend access to an account or workspace where reasonably necessary to protect the Service, your data or other customers, and will tell you why unless the law or an active security investigation prevents it.
4. Your records and your authority to provide them
4.1 Authority. You represent that you have the legal right to provide every Record you upload and to have Medcron process it for your matter, for example under a patient authorization that meets 45 C.F.R. § 164.508, a subpoena, a court order, a discovery rule, or another basis permitted by applicable law. Do not upload Records you are not permitted to share.
4.2 Only what is needed. Upload only the Records reasonably needed for the chronology you are ordering.
4.3 Protective orders. If Records are subject to a protective order or other restriction that requires handling beyond these Terms, tell us before you upload them. We will confirm whether we can comply before you proceed.
4.4 Your responsibility. You remain responsible for the Records you provide, including their completeness, and for your obligations to your clients and to the people the Records describe.
5. Orders, prices and payment
5.1 Price. Pages are counted when you upload them. An Order’s price is the number of pages multiplied by the per-page rate, subject to the per-order minimum, both as published at medcron.net/pricing at the time of the Order. The exact price is shown before checkout.
5.2 Payment. Payment is taken by card through Stripe when you check out. Medcron does not receive or store your card number. Processing begins once payment is confirmed.
5.3 Taxes. Prices do not include taxes. You are responsible for any sales, use or similar taxes that apply to your purchase, other than taxes on Medcron’s income.
5.4 Trial orders. Firms evaluating Medcron may receive an invite code for free trial Orders. The number of trial Orders is set by the code.
5.5 Price changes. We may change our prices at any time. A change never affects an Order you have already paid for.
6. Processing, review, delivery and turnaround
6.1 Review and release. No Chronology is released until a Medcron reviewer has approved it. You receive an email when it is ready, and you download it from your workspace.
6.2 Turnaround. Our published turnaround targets are measured in business hours, which are 8:00 a.m. to 6:00 p.m. Pacific Time, Monday through Friday, excluding U.S. federal holidays, and run from the time payment is confirmed. They are targets, not guarantees. Large or poorly legible files, unusual record types and service interruptions can take longer, and we will tell you if an Order will miss its target.
7. Corrections and refunds
7.1 Corrections. If an entry in a Chronology does not accurately reflect the page it cites, tell us before the Order’s files are deleted under Section 8 and we will correct and re-release the Chronology at no charge. After deletion, a correction requires you to upload the relevant Records again.
7.2 Refunds. If we cannot process an Order, for example because its files are unreadable or not supported, we will tell you and refund it in full. If a Chronology materially fails to reflect the Records supplied and we cannot correct it under Section 7.1, we will refund that Order. Otherwise, fees for a delivered Chronology are non-refundable. Refunds are made to the original payment method.
8. Retention and deletion
Uploaded Records, Chronologies and the working files for an Order are deleted automatically 14 days after the Order starts, that is, when it is paid for or started with a free order. An Order that is never started is deleted 14 days after it was created. Encrypted backups containing them are deleted within 8 further days. Download your Chronology before then; we cannot recover an Order’s files after deletion. Account, firm and billing information is kept as described in our Privacy Policy.
9. Confidentiality and data protection
9.1 Use of Records. We use Records only to provide the Service to you. We do not sell Records, use them for advertising, send them to third-party artificial intelligence or cloud language-model services, or use them to train models.
9.2 Where Records are processed. Records are processed and stored on servers that Medcron controls in the United States. We do not use third parties to store or process Records. Our service providers receive only the limited, non-Record information described in the Privacy Policy, such as payment details handled by Stripe.
9.3 People. Access to Records is limited to Medcron personnel who need it to provide the Service and who are bound by confidentiality obligations.
9.4 Security. We maintain reasonable security procedures and practices appropriate to the nature of the information, including multi-factor sign-in, isolation of each customer’s data, encrypted connections, encrypted storage, automatic deletion and an access log of reads, downloads, reviews and approvals.
9.5 Security incidents. If we discover a breach of the security of Records we maintain for you, we will notify you immediately following discovery, as California Civil Code § 1798.82(b) requires, and will cooperate with your response. For PHI covered by the BAA, the BAA’s reporting terms also apply.
9.6 Legal demands. If we receive a subpoena or other legal demand for your Records, we will notify you before responding, unless the law prohibits notice, so that you can seek a protective order or other remedy.
10. Business associate agreement
If you are a covered entity, or a business associate of a covered entity, under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations (“HIPAA”), and you provide PHI to Medcron, the BAA is incorporated into these Terms and governs that PHI. If the BAA conflicts with these Terms regarding PHI, the BAA controls. We will countersign a copy of the BAA on request, and we will review your own business associate agreement if you prefer to use it.
11. Acceptable use
You will not, and will not allow others to: access or attempt to access another customer’s data; probe, scan or test the Service’s vulnerability or interfere with its operation; reverse engineer the Service except as the law expressly permits; upload malicious code; resell the Service; or use the Service in violation of any law or of anyone’s rights.
12. Ownership
As between you and Medcron, you own your Records and the Chronologies we deliver to you. You grant Medcron a limited license to use the Records solely to provide the Service to you. Medcron owns the Service, including its software, methods and templates. If you send us suggestions, we may use them without obligation. We may use operational measurements that contain no Record content, such as page counts and processing times, to operate and improve the Service.
13. Warranties and disclaimers
13.1 Mutual. Each party represents that it has the authority to enter into these Terms.
13.2 Medcron. We will provide the Service with reasonable skill and care, consistent with these Terms.
13.3 Disclaimer. Except as expressly stated in these Terms, the Service and Chronologies are provided “as is”, and Medcron disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. A Chronology depends on the legibility and content of the Records supplied, and we do not warrant that it identifies every fact in them or that it is free of errors. We make no promise about the outcome of any matter.
14. Limitation of liability
14.1 Excluded damages. Neither party is liable to the other for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits or lost revenue, arising out of these Terms, even if advised that they were possible.
14.2 Cap. Each party’s total liability arising out of these Terms is limited to the amounts you paid Medcron in the 12 months before the event giving rise to the claim.
14.3 Exceptions. Sections 14.1 and 14.2 do not limit your obligation to pay fees due, and do not apply to liability that cannot be limited under applicable law, including liability for fraud, willful injury or violation of law under California Civil Code § 1668.
15. Indemnification
15.1 By you. You will defend Medcron against third-party claims arising from Records you were not authorized to provide, from your use of a Chronology, or from your breach of Section 11, and will pay the resulting damages, costs and reasonable attorneys’ fees finally awarded or agreed in settlement.
15.2 By Medcron. Medcron will defend you against third-party claims arising from Medcron’s use or disclosure of your Records in breach of these Terms, and will pay the resulting damages, costs and reasonable attorneys’ fees finally awarded or agreed in settlement.
15.3 Process. The party seeking defense must notify the other promptly, allow it to control the defense and settlement (no settlement may impose an obligation or admission on the defended party without its consent), and cooperate reasonably. Indemnification is subject to Section 14.
16. Term, suspension and termination
These Terms apply for as long as you have a workspace. You may close your workspace at any time by writing to support@medcron.net. We may suspend or close a workspace that materially breaches these Terms, with notice where practicable. When a workspace closes, fees already due remain payable and Records are deleted as described in Section 8. Sections 7.2, 8, 9, 12, 13.3, 14, 15, 17 and 19 survive termination.
17. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in Orange County, California have exclusive jurisdiction over any dispute arising out of these Terms, and each party consents to that jurisdiction and venue. Either party may seek injunctive relief in any court of competent jurisdiction to prevent the unauthorized use or disclosure of its confidential information.
18. Changes to these Terms
We may update these Terms. We will post the new version at medcron.net/terms with its effective date and, for material changes, email the account holders of each workspace at least 15 days before the change takes effect. A change never applies to an Order placed before it takes effect. If you do not agree to a change, you may close your workspace before it takes effect; continuing to place Orders afterwards means you accept the updated Terms.
19. General
Entire agreement. These Terms, the Privacy Policy, the BAA (where it applies) and the details shown at checkout are the entire agreement between the parties about the Service and supersede prior agreements on that subject.
Electronic acceptance and notices. You agree to accept these Terms and receive notices electronically. We send notices to the email addresses registered to your workspace; you send notices to support@medcron.net or by mail to Medcron LLC, 385 S. Manchester Ave., Apt. 1073, Orange, CA 92868.
Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in a merger, acquisition or sale of all or substantially all of our assets, provided the successor assumes our obligations, including under the BAA.
Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as utility or internet outages, natural disasters or acts of government, other than payment obligations.
Relationship. The parties are independent contractors. There are no third-party beneficiaries of these Terms.
Severability and waiver. If a provision is held unenforceable, it will be enforced to the maximum extent permitted and the rest remain in effect. A failure to enforce a provision is not a waiver.
